Ultimate Jigging Inc. d.b.a. Jaws Fishing welcomes qualified U.S. wholesalers, tackle shops, online retailers, and authorized dealers who intend to purchase Jaws® and Ultimate Jigging® products for resale.

 

To protect our wholesale pricing system, comply with applicable resale-documentation requirements, and maintain a fair dealer program, wholesale access is available only after approval by Ultimate Jigging Inc.

 

1. Wholesaler Approval Requirement

 

Before receiving access to our wholesale order page, each wholesaler must submit the required business and resale documentation for review.

 

Required information may include:

• Business legal name

• Trade name, if different

• Business address

• Contact person

• Email address

• Telephone number

• Website or online store, if applicable

• Type of business

• Product categories intended for resale

• Completed California Resale Certificate, if applicable

• Prior dealer or wholesaler history with Jaws Fishing, if applicable

 

Submission of an application or resale certificate does not automatically create a wholesaler account. Ultimate Jigging Inc. reserves the right to approve, reject, suspend, or terminate wholesale access at its discretion.

 

2. California Resale Certificate Requirement

 

For California resale purchases, a completed California Resale Certificate must be submitted before wholesale access is granted, unless the wholesaler has previously submitted a valid certificate that remains on file with Ultimate Jigging Inc.

 

The resale certificate must be complete, signed, and accurate. It should include the purchaser’s valid seller’s permit number, business information, description of the type of property being purchased for resale, and authorized signature.

 

By submitting a resale certificate, the purchaser represents that the products purchased from Ultimate Jigging Inc. are being purchased for resale in the regular course of the purchaser’s business and will not be used for personal use, internal use, gifts, samples, or any non-resale purpose before resale.

 

Ultimate Jigging Inc. may request an updated resale certificate at any time if information appears incomplete, outdated, inconsistent, or no longer valid.

 

3. Existing Wholesalers

 

a wholesaler has previously submitted a valid California Resale Certificate and Ultimate Jigging Inc. has it on file, the wholesaler generally does not need to submit a new certificate for each order.

 

However, a new or updated certificate may be required if:

• The business name has changed;

• The business address has changed;

• The seller’s permit number has changed;

• The purchaser’s business model has changed;

• The prior certificate is incomplete or cannot be located;

• Ultimate Jigging Inc. determines that updated documentation is necessary.

 

4. Wholesale Password Access

 

After Ultimate Jigging Inc. reviews and approves the wholesaler’s documentation, the approved wholesaler will receive password access to the wholesale order page.

 

The password is provided only to the approved wholesaler and may not be shared, transferred, posted online, or used by any unauthorized person.

 

Ultimate Jigging Inc. may change, suspend, or revoke password access at any time, including in cases of suspected misuse, incomplete documentation, unauthorized sharing, nonpayment, excessive order cancellations, or violation of wholesale terms.

 

5. Minimum Wholesale Order Amount

 

Each wholesale order must exceed USD $1,000.00, excluding shipping charges.

This means the merchandise subtotal must be more than USD $1,000.00 before shipping, handling, taxes, or other charges are added.

 

Orders that do not meet the minimum merchandise subtotal may be rejected, delayed, or returned for revision.

 

6. Payment by PayPal

 

Orders must be paid through PayPal unless Ultimate Jigging Inc. agrees otherwise in writing.

 

Payment must be fully received and cleared before shipment. An order is not considered ready for shipment until payment has been confirmed.

 

Ultimate Jigging Inc. is not responsible for PayPal processing delays, payment holds, incorrect payer information, chargebacks, reversed payments, or failed transactions.

 

7. Shipping Policy

 

After payment has cleared, Ultimate Jigging Inc. will prepare the order for shipment.

Shipping charges are separate from the minimum wholesale order amount unless otherwise stated in writing. Shipment timing may depend on product availability, order size, packaging requirements, carrier availability, and payment clearance.

 

Ultimate Jigging Inc. may contact the wholesaler if an item is temporarily unavailable, if shipping charges require confirmation, or if the order requires adjustment.

 

8. Sales Tax and Resale Compliance

 

Wholesale pricing and resale treatment are available only for qualified resale purchases.

A resale certificate is not a general tax exemption. It applies only when the purchaser is buying products for resale in the regular course of business. If the purchaser uses the products for any other purpose, including personal use, business use, promotional giveaways, or internal consumption, the purchaser may be responsible for applicable sales or use tax and penalties.

 

Ultimate Jigging Inc. may reject any resale certificate or order if the documentation appears incomplete, inconsistent, invalid, or not accepted in good faith.

 

9. Accuracy of Information

 

The wholesaler is responsible for providing complete and accurate information. Ultimate Jigging Inc. may request additional documentation before approving or processing any wholesale order.

 

By submitting a wholesale application, resale certificate, order, or payment, the wholesaler confirms that all information provided is true, complete, and current.

 

10. No Automatic Dealer Rights

 

Approval for wholesale ordering does not create an exclusive dealership, distributorship, agency relationship, franchise relationship, territory protection, price guarantee, credit account, or continuing supply obligation.

 

Ultimate Jigging Inc. reserves the right to update prices, product availability, order requirements, payment terms, shipping terms, and wholesale program policies at any time without prior notice.
